Preface

Welcome to the services provided by IPbyte ("the Company", "we", or "us").These Terms of Service ("Terms") are a legal agreement between you ("user" or "you") and the Company regarding your access to and use of www.ipbyte.ai ("Website") and all products and services provided by the Company (collectively, the "Services").

1. API: real-time data query services provided by the Company through RESTful APIs, allowing users to programmatically obtain IP-address-related information.

2. Offline data package: IP data collections periodically updated and provided as database files for local deployment and offline query.

3. User data: data submitted, uploaded, queried, or obtained by users when using the Services.

4. Derived data: analysis reports, statistical results, profiles, or other derivative outputs generated by users based on data provided by the Services.

5. Service fees: consideration payable by users for licenses and usage rights, as displayed on the Website or agreed in a separate commercial order.

6. License types: service permissions granted according to business needs and payment standards, including Standard License, Commercial License, and Enterprise License.

2. Account Registration and Management

You must provide true, accurate, complete, and current personal or business information when registering. You are responsible for maintaining account credentials, including usernames, passwords, and API keys. The Company may refuse registration, suspend, or terminate accounts where it reasonably suspects a violation of these Terms or applicable law. The Services are available only to persons aged 16 or above with full civil capacity or legally established entities.

3. Service License

Subject to full payment and compliance with these Terms, the Company grants you a non-exclusive, non-transferable, non-sublicensable (except where an Enterprise License permits), revocable, limited license to use the Services within the agreed scope and term. All intellectual property rights not expressly granted are reserved by the Company and its licensors.

4. Permitted Use Cases

You may use the Services for lawful commercial and technical purposes, including content localization, fraud detection, network security and traffic analysis, advertising and marketing analysis, network operations and performance monitoring, data research and analytics, and export-control or sanctions compliance screening.

5. Use Restrictions

You shall not resell or distribute service data except as permitted by an Enterprise License, reverse engineer the Services or data structures, scrape or bulk extract data through automated means, use the Services for unlawful activities, track or monitor specific natural persons, build competing databases, remove attribution or copyright notices, exceed technical or quota limits, or use the Services in violation of sanctions or export-control laws.

6. Fees and Payment

You shall pay service fees according to prices, billing cycles, and payment methods displayed on the Website or agreed in an order. Fees may vary by product, license type, usage volume, data package, and subscription period. Unless otherwise stated, prices exclude taxes, bank charges, currency conversion fees, and other third-party charges.

7. Data and Privacy

The Company processes personal information in accordance with the Privacy Policy. You shall ensure that any data you submit or process through the Services has been lawfully obtained and may be lawfully used. You shall not submit sensitive personal information unless expressly agreed in writing.

8. Service Availability and Changes

The Company will use commercially reasonable efforts to maintain service availability, but does not guarantee uninterrupted or error-free operation. We may modify, suspend, upgrade, or discontinue part of the Services for security, compliance, technical, or business reasons.

9. Intellectual Property

The Services, data, APIs, documentation, software, algorithms, models, trademarks, logos, and related materials are owned by the Company or its licensors. You receive only the limited usage rights expressly granted by these Terms and may not claim ownership of the Services or data.

10. Confidentiality

Both parties shall keep confidential all non-public business, technical, pricing, account, API key, and transaction information obtained during performance of these Terms. Confidentiality obligations survive termination until the information lawfully enters the public domain.

11. Disclaimer

The Services and data are provided on an "AS IS" and "AS AVAILABLE" basis. IP geolocation and risk data are estimates and references, not guarantees of exact location, identity, legality, or risk outcome. You remain responsible for independent judgment and compliance decisions.

12. Limitation of Liability

To the maximum extent permitted by law, the Company and its affiliates shall not be liable for indirect, incidental, special, punitive, or consequential damages, including loss of profits, goodwill, data, or business interruption. Except for intentional misconduct or gross negligence, the Company's aggregate liability shall not exceed the service fees actually paid by you in the preceding 12 months or USD 1,000, whichever is higher.

13. Termination

You may stop using the Services or terminate subscriptions through account settings or customer support. The Company may suspend or terminate access immediately if you breach these Terms, fail to pay fees, misuse data, endanger security, or violate applicable laws. After termination, you must stop using the Services and destroy offline data copies unless otherwise permitted.

14. Export Control and Sanctions

You shall comply with all applicable export-control and sanctions laws. You shall not use or provide the Services in embargoed or sanctioned regions, for prohibited end users, or for military, mass surveillance, or other sensitive government purposes without the Company's prior written enterprise authorization.

15. Notices

Notices may be delivered through the Website, email, account notifications, or other reasonable methods. Notices sent to the email address associated with your account are deemed delivered when sent successfully.

16. Changes to Terms

1. Right to modify: the Company may revise these Terms based on business development, legal changes, or technical upgrades.

2. Notice: material changes will be notified by email or prominent website notice. Non-material changes may be made without prior notice.

3. Effect and consent: revised terms take effect from the date of publication or the date specified in the notice. If you continue using the Services after the changes take effect, you are deemed to have accepted the revised terms. If you disagree, you should stop using the Services and cancel your account immediately.

17. Governing Law and Dispute Resolution

1. Governing law: these Terms shall be governed by the laws of the Hong Kong Special Administrative Region, excluding conflict-of-law rules.

2. Arbitration: any dispute, controversy, or claim arising out of or relating to these Terms shall first be resolved through friendly consultation. If consultation fails, either party may submit the dispute to theHong Kong International Arbitration Centre (HKIAC)under its then-effective arbitration rules. The tribunal shall consist ofonearbitrator appointed by HKIAC. The arbitration proceedings and award shall be inChinese. The arbitral award shall be final and binding and may be enforced in any court of competent jurisdiction.

3. Waiver: to the maximum extent permitted by law, you agree to waive the right to bring class actions, representative actions, or jury trials relating to the Services or these Terms.

18. Miscellaneous

These Terms constitute the complete agreement between you and the Company regarding the Services. If any provision is found invalid or unenforceable, the remaining provisions remain effective. Failure to exercise a right does not constitute a waiver. You may not assign rights or obligations without prior written consent, while the Company may assign these Terms in connection with merger, acquisition, or restructuring.
